1. Agreement to Terms

By creating an account on pibbl.app or using any Pibbl service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use Pibbl.

These Terms constitute a legally binding agreement between you and Medford Staffordshire Enterprises LLC d/b/a Pibbl ("Pibbl," "we," "our," or "us").

If you are using Pibbl on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.

2. Description of service

Pibbl is a subscription-based software platform that allows podcast creators to connect podcast RSS feeds to automatically detect new episodes, generate AI-written social media post drafts for connected platforms, review, edit, approve, and publish or schedule those posts, and manage social media publishing across Instagram, Facebook, Threads, LinkedIn, Bluesky, and X/Twitter. Pibbl also offers additional features that operate on your episodes, including audio transcription (and downloadable transcripts), audiogram video clips, and AI-generated content such as show notes, chapters, and titles. Certain of these features are subject to plan-based usage allowances as described in Section 5.9.

Pibbl is a tool that assists human creators. It does not operate social media accounts autonomously without user setup and approval. You remain responsible for all content published through your Pibbl account.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes when feasible.

3. Eligibility

You must be at least 18 years old to use Pibbl. By using Pibbl, you represent that you meet this requirement. Pibbl is intended for use by individuals and businesses, not by children.

4. Accounts

4.1 Registration

You must provide accurate, complete information when creating your account. You are responsible for keeping your account information current.

4.2 Account security

Pibbl uses passwordless authentication. You sign in via a one-time code sent to your email address. You are responsible for maintaining access to your email account and for all activity that occurs under your Pibbl account. Notify us immediately at [email protected] if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your account.

4.3 One account per user

Each account is for a single user unless you are subscribed to a plan that explicitly includes multiple seats. Sharing login credentials across multiple people is not permitted.

5. Subscriptions and billing

5.1 Plans

Pibbl offers subscription plans as described on pibbl.net/pricing. Plan features, limits, and pricing are subject to change with advance notice to existing subscribers.

5.2 Free trial

Pibbl may offer a free trial period. At the end of the trial period, your subscription will automatically begin and your payment method will be charged unless you cancel before the trial ends. No credit card is required to start a free trial.

5.3 Billing

Subscriptions are billed in advance on a monthly or annual cycle, depending on the plan you select. Payment is processed by Stripe. By providing payment information, you authorize Stripe to charge your payment method on a recurring basis until you cancel.

5.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to Pibbl through the end of the period you have paid for.

5.5 Refunds

Subscription fees are non-refundable except where required by law. If you believe you were charged in error, contact [email protected] within 14 days of the charge.

5.6 Price changes

We will give you at least 30 days' notice before increasing the price of your subscription plan. If you do not cancel before the price change takes effect, you agree to the new price.

5.7 Failed payments

If a payment fails, we will retry the charge and notify you by email. If payment cannot be collected after reasonable attempts, your account may be downgraded or suspended until the outstanding balance is resolved.

5.8 Taxes

Prices are exclusive of taxes unless otherwise stated. You are responsible for any applicable sales tax, VAT, GST, or similar taxes based on your location.

5.9 Usage allowances and add-ons

Some features, including audio transcription, include a usage allowance that varies by plan (for example, a monthly number of transcription minutes or hours), as described on pibbl.net/pricing. Usage allowances reset at the start of each billing period, and any unused portion of a monthly allowance does not roll over.

When you reach an allowance, you may choose to purchase optional one-time add-on packs (for example, transcription top-up packs). Add-on packs are one-time purchases, not recurring subscriptions, and are charged to your payment method immediately via Stripe at the time of purchase. Purchased add-on units remain available while your account is active and do not expire, but they are non-refundable once purchased (except where required by law), have no cash value, and are forfeited if your account is terminated for violation of these Terms.

Plan allowances, add-on pack sizes, and add-on pricing are subject to change with advance notice as described in Section 5.1 and 5.6.

6. Acceptable use

You agree to use Pibbl only for lawful purposes and in accordance with these Terms. You agree not to use Pibbl to:

Violation of this section may result in immediate account suspension or termination without refund.

7. Social media platform compliance

Pibbl publishes content to third-party social media platforms on your behalf. By using Pibbl to publish content, you agree to comply with the terms of service and community guidelines of each platform you connect (Instagram, Facebook, Threads, LinkedIn, Bluesky, X/Twitter, and others), ensure you have all necessary rights and permissions to post the content you publish through Pibbl, and take full responsibility for content published through your Pibbl account.

Pibbl is not affiliated with, endorsed by, or sponsored by Meta, LinkedIn, Bluesky, X Corp, or any other social media platform. We access their APIs under their developer terms, which may change without notice. If a platform revokes or restricts API access, Pibbl's ability to publish to that platform may be affected, and this does not constitute a breach of these Terms or entitle you to a refund.

8. AI-generated content

8.1 Nature of AI content

Pibbl uses the Anthropic Claude API to generate social media post drafts. AI-generated content may occasionally be factually inaccurate, inconsistent with your brand voice despite your best configuration efforts, or unsuitable for your specific audience or context. You are responsible for reviewing all AI-generated drafts before publishing. Pibbl provides a review interface for this purpose.

8.2 Your responsibility

You acknowledge that AI-generated content is a starting point, not a finished product. By approving and publishing a draft, you take full responsibility for that content. Pibbl is not liable for consequences arising from published AI-generated content, including but not limited to reputational harm, platform penalties, or claims by third parties.

8.3 Ownership

You own all content you create, edit, and publish through Pibbl, including content derived from AI generation. You grant Pibbl a limited license to store and process that content solely to provide the service.

9. Intellectual property

9.1 Pibbl's property

The Pibbl platform, including its software, design, trademarks, and documentation, is owned by Medford Staffordshire Enterprises LLC d/b/a Pibbl and protected by intellectual property laws. Nothing in these Terms transfers ownership of Pibbl's intellectual property to you.

9.2 License to use

Pibbl grants you a limited, non-exclusive, non-transferable, revocable license to access and use Pibbl solely for your own internal business purposes in accordance with these Terms.

9.3 Your content

You retain ownership of your podcast content and any content you input into or generate through Pibbl. You grant Pibbl a worldwide, non-exclusive, royalty-free license to store, process, and transmit your content solely to provide the services you have requested.

9.4 Feedback

If you provide feedback or suggestions about Pibbl, we may use that feedback without any obligation to compensate you.

10. Privacy

Our Privacy Policy, available at pibbl.net/privacy, describes how we collect, use, and protect your personal data. By using Pibbl, you agree to our Privacy Policy.

11. Third-party services

Pibbl integrates with third-party services including Stripe, Anthropic, Supabase, and social media platforms. These services have their own terms of service and privacy policies. Pibbl is not responsible for the actions or omissions of third-party services.

12. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the maximum extent permitted by law, Medford Staffordshire Enterprises LLC d/b/a Pibbl and its officers, directors, employees, and agents shall not be liable for indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, business opportunities, or goodwill; damages arising from unauthorized access to your account; damages arising from third-party platform policy changes or API restrictions; or damages arising from AI-generated content you approved and published.

In all cases, Pibbl's total liability to you for any claims arising under these Terms shall not exceed the amount you paid to Pibbl in the 12 months preceding the claim.

Some jurisdictions do not allow limitation of certain liabilities. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Medford Staffordshire Enterprises LLC d/b/a Pibbl and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of Pibbl, content you publish through Pibbl, your violation of these Terms, or your violation of any third party's rights or any applicable law.

15. Termination

15.1 By you

You may delete your account at any time from your account settings. Deleting your account cancels your subscription (effective at the end of the current billing period) and triggers deletion of your personal data as described in our Privacy Policy.

15.2 By Pibbl

We may suspend or terminate your account at any time if you violate these Terms (particularly Section 6), fail to pay subscription fees after notice, we are required to do so by law, or we discontinue the service. We will endeavor to provide advance notice of termination except where prohibited by law or where your violation requires immediate action.

15.3 Effect of termination

Upon termination, your right to use Pibbl ceases immediately. Sections 8.2, 9, 12, 13, 14, 16, and 17 survive termination.

16. Dispute resolution

16.1 Informal resolution

Before initiating any formal dispute, you agree to contact us at [email protected] and attempt to resolve the issue informally. We will try to respond within 15 business days.

16.2 Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.

16.3 Jurisdiction

Any disputes not resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Nash County, North Carolina, and you consent to personal jurisdiction in those courts.

17. General provisions

17.1 Entire agreement

These Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and Pibbl regarding the service and supersede any prior agreements.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

17.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Force majeure

Pibbl is not liable for delays or failures in performance caused by circumstances beyond our reasonable control, including:

Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency between you and Pibbl.

18. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email and by posting a notice on pibbl.app at least 14 days before they take effect. If you continue to use Pibbl after the effective date, you agree to the updated Terms. If you do not agree, you may cancel your subscription before the effective date.
